A core tenet of good corporate governance is the idea of an independent director. In order for companies to list on [most] stock markets, a corporate governance certification is required – part of this involves ensuring a number of independent directors are included on a company’s board. It’s critical for the integrity of the capital markets and to protect members of the public who are able to invest their cash into these companies. These independent directors have expertise but do not form part of the day-to-day operations of the business, this allows them to bring unique perspectives to help the board make better decisions.
